Terms of Service

1. Safety Notice

Sage is an AI companion for supportive conversation. It is not therapy, medical care, or a crisis service, and does not provide medical, psychological, legal, or financial advice. Your companion is software, not a licensed professional.

If you are in crisis or thinking about harming yourself or others, call or text 988 (Suicide Crisis Lifeline), or call 911 (U.S. and Canada). The App may show crisis resources when certain language is detected, but it cannot reliably detect or respond to emergencies and must not be relied on for them. Screening is automated and exists solely to show you support resources. No person monitors your conversations, and the App will not alert emergency services and will not contact you or any third party in response to detected language. If you are in crisis, contact 988 or your local emergency services directly.

2. Eligibility

You must be at least 18 years old and located in the United States or Canada to use the App.

3. Your Account

You sign in with Apple or Google. You are responsible for activity under your account.

4. How the App Works

The App generates responses using a third-party AI provider, Anthropic, PBC. When you send a message, its content is sent to Anthropic to generate a response, as described in our Privacy Policy. AI-generated content can be inaccurate or inappropriate, is generated automatically, and does not represent the views of Mindful AI. You are responsible for how you use it. Video conversations are powered by a third-party provider, Tavus, Inc., which processes your camera and microphone streams in real time as described in our Privacy Policy. The companion you see in video conversations is an AI-generated avatar, not a real person.

5. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of others' rights;
• Rely on the App for medical, emergency, or crisis purposes it is not designed for;
• Reverse-engineer, scrape, disrupt, or gain unauthorized access to the App;
• Use the App to build or train a competing product or AI model.

We may suspend or terminate access if you violate these Terms, and we reserve the right to pursue any remedies available under applicable law.

6. Your Content

You own the messages you submit and the camera and microphone streams you transmit during video conversations ("Your Content"). You grant us a limited license to store, process, and transmit Your Content solely to operate the App for you, including sending it to our AI providers and creating memory summaries as described in the Privacy Policy. We do not use Your Content for advertising.

7. Our Intellectual Property

The App, including its software, design, the "Sage," "Mindful Space," and "Mindful AI" names, logos, and companion characters, is owned by Mindful AI or its licensors. We grant you a limited, personal, non-exclusive, non-transferable license to use the App for your own personal, non-commercial use.

8. Subscriptions and Payments

The App requires a paid subscription. Each plan includes unlimited messaging with your companion plus a monthly allowance of video-conversation minutes. If your subscription ends, messaging remains available to you at no additional charge; video conversations require an active plan. We may offer new users a free introductory session.

• Plans. We offer auto-renewing monthly subscriptions (currently Light, Warm, and Deep). Each plan includes a set number of video-conversation minutes per billing month. The current price and included minutes are shown in the App before you purchase.
• Billing. Payment is charged to your Apple ID account through the App Store when you confirm the purchase. Subscriptions renew automatically each month unless you cancel at least 24 hours before the end of the current period.
• Managing and canceling. Manage or cancel anytime in your Apple ID subscription settings. Canceling stops future renewals; you keep access and your remaining minutes through the period you already paid for.
• Minutes. Included minutes are for the current billing month and expire at the end of the period.
• Plan changes. Upgrades take effect immediately: Apple charges the new plan's full price, refunds the unused portion of your current plan on a prorated basis, and your billing date resets to the day you upgrade. Your remaining minutes are added to the new plan's allowance. Downgrades take effect at your next renewal, when the lower price begins.
• Introductory offers. We may offer introductory pricing for the first billing period; afterwards the subscription renews at the standard price unless canceled.
• Refunds. Purchases are processed by Apple; refunds are handled by Apple under its terms.

9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted or error-free, or that AI responses will be accurate or appropriate for your situation. The App is not a medical device and is not intended to diagnose, treat, or prevent any condition.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDFUL AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA OR PROFITS, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS OR ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify Mindful AI from claims and expenses arising out of your misuse of the App or violation of these Terms.

12. Termination

You may stop using the App and delete your account anytime. We may suspend or terminate access if you violate these Terms or if we discontinue the App. Sections 6–11 and 13–17 survive termination.

13. Changes to the App and These Terms

We may add, modify, or remove features of the App — including companion characters and their appearance, voice, and behavior — at any time, and we will not be liable to you for any modification, suspension, or discontinuation of any feature. We may also update these Terms. Material changes will be reflected in the "Last updated" date and, where appropriate, noticed in the App.

14. Dispute Resolution and Arbitration

Before filing any claim, you agree to contact us at hello@mindfulai.io and give us 30 days to try to resolve the dispute informally.

Any dispute not resolved informally will be resolved by final and binding arbitration before a single arbitrator, administered by JAMS in San Francisco, California under its rules for consumer disputes, rather than in court — except that either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.

You and Mindful AI each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or representative proceeding; claims may be brought only on an individual basis. You may opt out of this arbitration agreement by emailing hello@mindfulai.io within 30 days of first accepting these Terms. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court, and the remainder of this section remains in effect.

15. Governing Law

These Terms are governed by the laws of the State of California. Any dispute not subject to arbitration under Section 14 will be subject to the exclusive jurisdiction of the state and federal courts in San Francisco County, California, except where applicable law provides otherwise.

16. Apple App Store Terms

These Terms are between you and Mindful AI only, not Apple. Apple has no obligation to provide support for the App. Apple is not responsible for any claims relating to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

17. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms and the Privacy Policy constitute the entire agreement between you and Mindful AI regarding the App. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them. Our failure to enforce any provision is not a waiver of it. Any claim arising out of or relating to these Terms or the App must be filed within one (1) year after the claim arose, or be forever barred.
